In an ideal scenario, each social housing provider would have a trained chartered company secretary who is solely responsible for this role. Unfortunately, this is not the situation for many small and medium-sized social housing providers; financial constraints mean that the responsibilities of the role are appointed to a senior director or an executive, who may not have formal training and must navigate their responsibilities through on-the-job experience navigating intricate legal and regulatory requirements while balancing their existing leadership responsibilities.
Strong governance is non-negotiable. The company secretary plays an important role in ensuring compliance, upholding best practices and maintaining the integrity of decision-making. Although there is no ‘one size to fit all,’ it is important for housing associations to be at the top of their governance and compliance ‘game’ and to ensure that they have the strongest governance and controls.

Regulatory compliance
- Communicating effectively with key regulatory bodies such as the Regulator, FCA, Companies House, Charities Commission and CQC.
- Filing statutory returns accurately and on time.
- Understanding the Companies Act 2006 and its implications for organisations operating in the social housing sector.
Governance frameworks
- Managing and maintaining constitutional documents, including rules, memoranda, articles, and intragroup agreements.
- Developing governance frameworks such as standing orders, terms of reference, and delegation schemes.
- Ensuring compliance with the Regulatory framework, relevant Code of Governance and equivalent standards in Scotland and Wales.
Annual reporting
- Producing Annual Reports and Financial Statements.
- Understanding Environmental, Social, and Governance (ESG) reporting requirements.
Board and leadership management
- Planning for Board and Committee succession, recruitment, and skills development.
- Supporting Board member induction, training, appraisals and remuneration processes.
- Facilitating effective Board and Committee dynamics for stronger decision-making.
Stakeholder engagement
- Building and maintaining strong shareholder relations.
- Annual General Meetings (AGMs).
- Gathering and integrating shareholder feedback into governance strategies.
Fees & Additional Information
This training consists of four two-hour sessions that together make up the equivalent of one full day of training. Each session will be recorded and available on our website, where you will have access to watch it again. The training costs £675 plus VAT, and it includes two 30-minute follow-up mentoring sessions to discuss any issues you may have.
Additional mentoring can also be purchased at £100 per hour.
